5. Intellectual Property Rights

5.1 Our Intellectual Property

The Website and all of its contents, features, and functionality — including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the overall design and layout — are the exclusive property of Pizza Luce and are protected by applicable United States and international intellectual property laws, including the Copyright Act (17 U.S.C. § 101 et seq.), trademark law, trade secret law, and other applicable legislation.

The Pizza Luce name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Pizza Luce or its affiliates or licensors. You may not use such marks without the prior written permission of Pizza Luce. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

5.2 Limited License

Subject to your compliance with these Terms, Pizza Luce grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Website solely for your personal, non-commercial use. This license does not include the right to:

  • Reproduce, distribute, publicly display, or publicly perform the Website content;
  • Modify, translate, adapt, or create derivative works based on the Website content;
  • Use any data mining, robots, or similar data gathering and extraction methods;
  • Download or copy any portion of the Website for the benefit of another person or entity;
  • Use our intellectual property for commercial purposes without express written consent.

Any use of the Website not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.

5.3 User-Generated Content

If you submit reviews, comments, photos, feedback, or other content to our Website or social media channels associated with Pizza Luce ("User Content"), you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, and distribute such User Content in connection with our business and marketing activities.

You represent and warrant that you own or have the necessary rights to submit such User Content and that it does not infringe the rights of any third party.

6. Payment Terms and Ordering

6.1 Pricing and Payment

All prices displayed on the Website are in United States Dollars (USD) and are subject to change without notice. Applicable taxes, delivery fees, and any service charges will be calculated and displayed at checkout prior to the completion of your order.

We accept various payment methods as indicated on our Website, which may include major credit cards, debit cards, and other electronic payment platforms. By submitting payment information, you represent and warrant that you are authorized to use the designated payment method.

6.2 Order Confirmation and Accuracy

Receipt of an order confirmation does not constitute our acceptance of an order. We reserve the right to refuse or cancel any order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, errors in your order, or other reasons at our sole discretion.

It is your responsibility to review your order carefully before submission. Pizza Luce is not responsible for errors in orders submitted by customers, including incorrect items, quantities, or delivery addresses.

6.3 Refunds and Cancellations

If you experience an issue with your order, please contact us immediately at [email protected]. Refund eligibility is determined on a case-by-case basis and is subject to our refund policy. Once an order has been prepared, cancellations may not be possible. All decisions regarding refunds and cancellations are at the sole discretion of Pizza Luce.

6.4 Promotional Codes and Discounts

Promotional codes and discount offers are subject to their own specific terms and conditions. They may have expiration dates, be limited to one use per customer, or be restricted to specific menu items. Promotional codes cannot be combined unless expressly stated, transferred, exchanged for cash, or applied retroactively to previous orders.

7. Allergen and Dietary Information

Pizza Luce makes reasonable efforts to provide accurate allergen and nutritional information on our Website. However, we cannot guarantee that our products are free from any particular allergen, as our food is prepared in environments where allergens may be present. Customers with food allergies or dietary restrictions are strongly encouraged to contact us directly before placing an order to discuss their specific needs.

Pizza Luce shall not be liable for any adverse reactions or health consequences arising from the consumption of our food products where reasonable disclosure efforts have been made. It is the customer's responsibility to inform us of any allergies or dietary requirements prior to ordering.

8. Disclaimers — "As-Is" Basis

YOUR USE OF THE WEBSITE AND OUR SERVICES IS AT YOUR SOLE RISK. THE WEBSITE AND ALL CONTENT, SERVICES, PRODUCTS, AND OTHER MATERIALS AVAILABLE THROUGH THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PIZZA LUCE EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, TIMELINESS, OR COMPLETENESS OF ANY CONTENT ON THE WEBSITE;
  • WARRANTIES THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
  • WARRANTIES THAT THE QUALITY OF ANY PRODUCTS, SERVICES, OR INFORMATION OBTAINED THROUGH THE WEBSITE WILL MEET YOUR EXPECTATIONS.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you. In such cases, our warranties are limited to the greatest extent permitted by applicable law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, INCLUDING THE LAWS OF THE UNITED STATES, IN NO EVENT SHALL PIZZA LUCE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
  • LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL;
  • COST OF SUBSTITUTE GOODS OR SERVICES;
  • DAMAGES ARISING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE WEBSITE;
  • DAMAGES ARISING FROM ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN;
  • DAMAGES ARISING FROM INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE WEBSITE.

THESE LIMITATIONS APPLY WHETHER THE LIABILITY IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT PIZZA LUCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO PIZZA LUCE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

Some states and jurisdictions do not allow limitations on implied warranties or exclusion of incidental or consequential damages, so the above limitations may not apply to you in their entirety.

10. Indemnification

You agree to defend, indemnify, and hold harmless Pizza Luce and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms of Service;
  • Your use of the Website or our services;
  • Your User Content or any content you submit, post, or transmit through the Website;
  • Your violation of any rights of another party, including intellectual property rights;
  • Your violation of any applicable federal, state, or local laws or regulations;
  • Any misrepresentation made by you in connection with your use of our services;
  • Your negligent or wrongful conduct.

Pizza Luce reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with us in asserting any available defenses.

11. Third-Party Links and Services

Our Website may contain links to third-party websites, services, or applications that are not owned or controlled by Pizza Luce. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any such third parties.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit. Your interactions with third-party services are governed by those third parties' own terms and policies, and Pizza Luce shall not be liable for any damages or losses caused by your reliance on or use of such third-party content or services.

12. Privacy Policy

Your use of the Website is also governed by our Privacy Policy, which is incorporated into these Terms of Service by reference. Our Privacy Policy describes how we collect, use, share, and protect your personal information. By using our Website and services, you consent to the collection and use of information as set forth in our Privacy Policy.

We comply with applicable federal privacy laws, including the Federal Trade Commission Act (15 U.S.C. § 45) regarding unfair or deceptive practices, and applicable state privacy laws. For customers located in California, we comply with the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA).

13. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the applicable state laws, without giving effect to any choice of law or conflict of law provisions.

Subject to the arbitration provisions below, you agree to submit to the personal and exclusive jurisdiction of the federal and state courts located within the United States for the resolution of any disputes not subject to arbitration. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

These Terms shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods. The application of the Uniform Computer Information Transaction Act (UCITA) is also expressly excluded from these Terms.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal dispute resolution procedure, you agree to first contact Pizza Luce at [email protected] and attempt to resolve the dispute informally. We will make good-faith efforts to resolve your concern within thirty (30) days of receiving your notice. If we are unable to resolve the dispute informally within that period, either party may proceed with formal dispute resolution.

14.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS AND PROVIDES FOR RESOLUTION OF DISPUTES THROUGH INDIVIDUAL ARBITRATION INSTEAD OF COURT TRIALS.

Except for disputes that qualify for small claims court, any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be finally settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules, which are available at www.adr.org. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

The arbitration shall be conducted in the English language. The arbitrator shall apply applicable substantive law consistent with the Federal Arbitration Act (9 U.S.C. § 1 et seq.) and applicable statutes of limitations.

14.3 Class Action Waiver

YOU AND PIZZA LUCE AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU AND PIZZA LUCE EACH WAIVE ANY RIGHT TO A JURY TRIAL AND WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

14.4 Time Limitation on Claims

You agree that any cause of action arising out of or related to the use of our Website or services must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action shall be permanently barred.

15. Term and Termination

These Terms of Service are effective as of the date you first access the Website and shall remain in full force and effect for as long as you continue to use the Website or maintain an account with us.

Pizza Luce reserves the right, in its sole discretion, to:

  • Suspend or terminate your access to the Website and/or your account at any time, with or without cause, and with or without notice;
  • Delete your account and all associated data in accordance with our data retention policies;
  • Cancel any pending orders in the event of account termination.

You may terminate your account at any time by contacting us at [email protected] and requesting account deletion. Upon termination, your right to use the Website will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimers, indemnification, and limitations of liability.

16. Changes to Terms

Pizza Luce reserves the right to modify, update, or replace these Terms of Service at any time at our sole discretion. When we make material changes to these Terms, we will notify you by:

  • Updating the "Last Updated" date at the top of this page;
  • Posting a notice on our Website;
  • Sending an email notification to registered users (where applicable).

Your continued use of the Website after the effective date of any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed of any updates. If you do not agree to the modified Terms, you must stop using the Website and, if applicable, close your account.

We will endeavor to provide at least thirty (30) days' notice before new terms take effect in cases where changes materially affect your rights or obligations. However, changes made to comply with legal requirements may take effect immediately.

17. Force Majeure

Pizza Luce shall not be liable for any failure or delay in performance under these Terms that results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or restrictions, labor disputes, power outages, internet or telecommunications failures, civil disturbances, or any other event of force majeure. In the event of such circumstances, we will make reasonable efforts to notify you and resume services as soon as practicable.

18. Electronic Communications

By using our Website and services, you consent to receive electronic communications from Pizza Luce. These communications may include operational notices about your account, order confirmations, promotional emails (if you have opted in), and other important information. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

You may opt out of receiving promotional emails at any time by following the unsubscribe instructions in those emails or by contacting us at [email protected]. However, you may not opt out of receiving transactional and operational communications related to your account and orders.

19. Compliance with Applicable Laws

Pizza Luce is committed to operating in compliance with all applicable federal, state, and local laws and regulations. Our services are intended for use within the United States. We make no representation that our Website or services are appropriate or available for use in locations outside the United States. If you access the Website from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

In particular, we comply with:

  • The Federal Trade Commission Act (15 U.S.C. § 45) regarding fair business practices and consumer protection;
  • The Computer Fraud and Abuse Act (18 U.S.C. § 1030);
  • The CAN-SPAM Act (15 U.S.C. § 7701 et seq.) regarding commercial electronic messages;
  • Applicable state consumer protection laws;
  • The Americans with Disabilities Act (ADA) in our efforts to maintain an accessible Website;
  • All applicable food safety and labeling regulations as required by federal and state law.

20. Severability

If any provision of these Terms of Service is found to be unlawful, void, invalid, or unenforceable by a court of competent jurisdiction or arbitrator for any reason, such provision shall be deemed severed from these Terms and shall not affect the validity and enforceability of the remaining provisions. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable, preserving as closely as possible the original intent of the parties. The remaining provisions of these Terms shall continue in full force and effect.

21. Waiver

No failure or delay by Pizza Luce in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. No single or partial exercise of any right, power, or remedy shall preclude any other or further exercise of that right, power, or remedy. A waiver of any breach or default under these Terms shall not constitute a waiver of any subsequent breach or default.

22. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices or policies published by Pizza Luce on the Website, constitute the entire agreement between you and Pizza Luce with respect to the subject matter herein and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.

No oral representations or statements shall be construed as part of these Terms. In the event of any conflict between these Terms and any other agreement you may have with us, these Terms shall prevail unless the other agreement expressly states otherwise and is signed by an authorized representative of Pizza Luce.

23. Assignment

You may not assign or transfer any of your rights or obligations under these Terms without Pizza Luce's prior written consent. Pizza Luce may freely assign or transfer its rights and obligations under these Terms, including in connection with a merger, acquisition, sale of assets, or by operation of law, without your consent. These Terms shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.

24. Headings

The section headings used in these Terms are for convenience only and shall not be given any legal import. They do not affect the interpretation or construction of these Terms in any way.
